[Remote] Healthcare Attorney Advisor to Healthcare VC Fund
Note: The job is a remote job and is open to candidates in USA. Healthcare Shares is a healthcare venture fund investing in social-impact healthcare startups. The Healthcare Attorney Advisor will support investment diligence and portfolio strategy by providing legal perspectives on early-stage healthcare companies, regulatory compliance, and transaction structures.
Responsibilities
- Support investment diligence by evaluating legal structures, regulatory compliance, licensing requirements, data-privacy implications, reimbursement risk, and exposure under federal and state healthcare laws
- Analyze intellectual property including patents, licensing arrangements, freedom-to-operate considerations, and IP scalability for investor protection
- Assess regulatory pathways relevant to digital health, AI applications, telehealth, medical devices, diagnostics, clinical services, and value-based care models
- Evaluate corporate governance, deal structures, cap tables, and founder agreements to identify risks related to future fundraising, investor rights, or governance scalability
- Advise on risk-management frameworks, including fraud-waste-abuse issues, Stark/Anti-Kickback compliance, HIPAA/HITECH data-security requirements, contractual liabilities, and regulatory enforcement risk
- Provide strategic support to portfolio companies on commercial contracting, compliance build-out, partnership agreements, data-use strategies, and legal operations scaling
- Collaborate with multidisciplinary advisory members —clinicians, operators, technologists, and financial experts—to deliver integrated investment recommendations
- Monitor emerging legal trends across AI governance, digital health regulation, privacy, FDA policy, reimbursement law, and healthcare transactions
Skills
- JD with experience in healthcare law, venture capital, corporate transactions, digital health, regulatory compliance, or healthcare innovation strategy
- Strong familiarity with HIPAA, licensing laws, telehealth regulations, FDA pathways, reimbursement frameworks, and data-governance requirements
- Experience reviewing cap tables, deal documents, commercial agreements, and early-stage governance structures
- Ability to translate legal and regulatory considerations into clear investment implications and operational guidance
